Welcome to ERPGRAM. These Terms and Conditions ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and ERPGRAM ("we," "our," or "us") regarding the use of our ERP consulting and implementation services.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
- ERP Consulting: Strategic guidance for ERP system selection, planning, and implementation.
- Implementation Services: Professional installation, configuration, and deployment of ERP solutions.
- Customization: Tailoring ERP systems to meet specific business requirements and processes.
- Training & Support: User training programs and ongoing technical support services.
- Maintenance: System updates, bug fixes, and performance optimization services.
- Integration: Connecting ERP systems with existing business applications and databases.
- Project Scope: All services will be delivered according to the agreed project scope and timeline.
- Client Cooperation: Client must provide necessary access, information, and cooperation for service delivery.
- Change Requests: Any changes to project scope must be agreed upon in writing and may result in additional charges.
- Acceptance Criteria: Services will be considered complete upon meeting agreed acceptance criteria.
- Delivery Timeline: We will make reasonable efforts to meet agreed timelines, subject to client cooperation.
- Quality Assurance: All deliverables will undergo quality testing before final delivery.
- Payment Schedule: Payments are due according to the schedule specified in the service agreement.
- Accepted Methods: We accept bank transfers, checks, and other mutually agreed payment methods.
- Late Payments: Late payments may incur additional charges and may result in service suspension.
- Taxes: All prices are exclusive of applicable taxes unless otherwise stated.
- Disputes: Any billing disputes must be raised within 30 days of invoice date.
- Refunds: Refund policies are specified in individual service agreements.
- Service Limitations: Our liability is limited to the fees paid for the specific services provided.
- No Warranties: Services are provided "as is" without warranties beyond those expressly stated.
- Force Majeure: We are not liable for delays caused by circumstances beyond our reasonable control.
- Data Security: While we implement security measures, clients remain responsible for their data backup.
- Third-party Systems: We are not liable for issues arising from third-party software or systems.
- Consequential Damages: We are not liable for indirect, consequential, or punitive damages.

- • Custom developments become client property upon full payment
- • Third-party software licenses remain with respective owners
- • Confidential information must be protected by both parties
- • Either party may terminate with written notice
- • Immediate termination for material breach
- • Client must pay for work completed before termination
- • Confidentiality obligations survive termination
- • Return of confidential materials upon termination
Applicable Law
These Terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of courts in Bengaluru, Karnataka.
Dispute Resolution
We encourage resolving disputes through good faith negotiations. If unsuccessful, disputes may be resolved through mediation or arbitration.

Updates to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to clients at least 30 days in advance. Continued use of our services after changes constitutes acceptance of the new terms.
